Terms of Service
These Terms govern your access to and use of Aurvus and related websites, applications, research tools, portfolio connectivity features, the Aurvus research agent, Stock Screener, Stock Comparison, Dividends, Analytics, Earnings, Goals, and paid subscription services provided by Sparrow Hawk Partners LLC ("Aurvus," "we," "us," or "our").

1. Acceptance and Eligibility
By accessing or using Aurvus, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.
You may use Aurvus only if you can form a binding contract with us and are permitted to use the service under applicable law. You are responsible for complying with the laws and regulations that apply to you.
If you use Aurvus on behalf of a company, fund, advisory business, or other entity, you represent that you have authority to bind that entity to these Terms.
2. What Aurvus Is Right Now
Aurvus is currently an investment research, data, analytics, and educational platform. It may provide market data, charts, news, filings, watchlists, portfolio analytics, Aurvus outputs, stock screening, stock comparison, dividend data, earnings data, goal tracking, and portfolio-aware research tools.
Aurvus does not currently provide any of the following:
- Brokerage services, custody, clearing, or settlement services
- Trade execution, order routing, or discretionary account management
- Banking, lending, credit, insurance, or payment-transfer services
- Personalized investment advisory services or financial planning services
- Tax, legal, accounting, or other professional advice
3. No Investment Advice, Recommendation, or Solicitation
Aurvus is not a registered investment adviser, broker-dealer, or member of FINRA or SIPC. Nothing on Aurvus constitutes personalized investment advice, a recommendation to buy, sell, hold, or tender any security, or an offer or solicitation to enter into any securities transaction or investment strategy.
Content on Aurvus is general in nature. Even where the service uses your connected portfolio, watchlist, prompts, or other inputs to organize research or provide context, that functionality does not convert the service into a personalized advisory program or create a fiduciary relationship.
You remain solely responsible for evaluating any information you see on Aurvus and for all investing, trading, and tax decisions you make.
4. No Broker-Dealer, No Investment Adviser, No Fiduciary Relationship
Your use of Aurvus does not create an investment advisory, brokerage, agency, partnership, or fiduciary relationship between you and Sparrow Hawk Partners LLC or any affiliate, officer, employee, contractor, or service provider.
We do not accept discretionary authority over your assets, we do not have authority to place trades for you, and we do not undertake to monitor your account on an ongoing basis for advisory purposes.
5. Future Regulated Services
If Aurvus ever offers services that involve trade execution, order routing, discretionary management, personalized investment advice, or any other activity that requires registration, licensing, or supervision under securities or commodities laws, those services will be offered only under separate terms, disclosures, and account documentation and, if applicable, through a separate regulated entity, affiliate, or third-party provider.
Until that happens, you should assume those services are not part of the current Aurvus offering.
6. Aurvus and Automation
Aurvus uses software models and AI systems to generate summaries, answers, rankings, and other outputs through the Aurvus research agent. For current user-specific Aurvus features, including prompts, messages, and portfolio-aware outputs based on your account data, Aurvus uses OpenAI models. AI and automated systems can be wrong, incomplete, outdated, biased, inconsistent, or misleading.
You must independently verify any information before relying on it. AI-generated output is provided for informational and educational purposes only and is not guaranteed to be accurate, complete, or suitable for your circumstances.
Aurvus may also display, compare, or discuss outputs from other model providers in public or experimental features. Those references do not by themselves mean your private prompts, messages, or connected portfolio data are sent to those providers.
7. Alerts and Notifications
Aurvus may provide watchlist alerts, price alerts, event alerts, news alerts, portfolio alerts, push notifications, emails, and in-app notifications based on criteria you set or criteria we make available on the Platform.
These alerts and notifications are informational only. They are not recommendations, trade instructions, or brokerage communications.
Alerting functionality depends on third-party data, connectivity, device settings, platform permissions, and network availability. Alerts may be delayed, incomplete, misfired, duplicated, or never delivered. You remain solely responsible for monitoring your investments, orders, and risk exposures.
8. Market Data and Third-Party Content
Aurvus relies on third-party data feeds, public filings, public disclosures, market data vendors, AI providers, and other external sources. Data may be delayed, incomplete, inconsistent, unavailable, or incorrect. You should use official brokerage statements, exchange feeds, issuer filings, and other primary sources to confirm information before acting on it.
9. Portfolio Connectivity
Brokerage connectivity features are currently provided through SnapTrade and related providers. When you connect a brokerage account, Aurvus receives read-only portfolio data needed to power research and analytics features.
- Aurvus cannot execute trades, transfer funds, or modify your brokerage account through current connectivity features.
- Aurvus does not receive your broker login credentials directly where SnapTrade handles that authentication flow.
- Connected portfolio data may be delayed, stale, incomplete, or inconsistent with your financial institution's official records.
- Your use of connectivity features may also be subject to SnapTrade's terms and privacy policies.
10. Accounts, Security, and Acceptable Use
You are responsible for your account credentials, devices, and all activity that occurs under your account. You agree to provide accurate information and to notify us promptly at [email protected] if you suspect unauthorized access.
You may not:
- Use Aurvus in violation of law or regulation
- Scrape, resell, republish, or redistribute protected content or data without permission
- Interfere with the security or operation of the service
- Use the service to provide regulated advice or services to third parties without appropriate authority
- Misrepresent Aurvus output as guaranteed, official, or personalized professional advice
- Use bots, scripts, or automated means to access the service in a way that burdens our systems or bypasses access controls
- Attempt to reverse engineer, decompile, or extract source code except as allowed by law
11. Subscriptions, Billing, and Renewals
Certain features require a paid subscription. Billing may be handled by Stripe, Apple, or other authorized payment providers. By purchasing a subscription, you authorize the applicable payment provider to charge the applicable recurring fees, taxes, and other disclosed amounts.
Unless otherwise stated, subscriptions renew automatically until canceled. Cancellation will stop future renewals but generally does not retroactively refund amounts already paid except where required by law.
We may change pricing, packaging, trials, or feature availability from time to time. If we change the price of a recurring subscription, the new price will apply on a future renewal date after any required notice.
12. Third-Party Services and Links
Aurvus may include or depend on third-party services including SnapTrade, Stripe, Apple, OpenAI, and market data providers. Your use of those services may also be governed by their own terms, policies, consents, fees, and disclosures. We are not responsible for third-party products or services.
13. Intellectual Property
The service, including our software, brand, interfaces, design, text, visual assets, compiled datasets, and derivative outputs protected by law, is owned by Sparrow Hawk Partners LLC or its licensors. Except for limited rights needed to use the service under these Terms, no rights are granted to you.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURVUS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, OR RESULTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPARROW HAWK PARTNERS LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, TRADING OPPORTUNITY, OR INVESTMENT VALUE, ARISING OUT OF OR RELATED TO YOUR USE OF AURVUS.
16. Indemnification
You agree to indemnify and hold harmless Aurvus, its affiliates, officers, employees, agents, and service providers from any claims, losses, damages, liabilities, costs, and expenses (including attorney fees) arising from your use of Aurvus, violation of these Terms, or infringement of any third-party rights.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction where Sparrow Hawk Partners LLC is located, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of Aurvus will be subject to binding arbitration or court proceedings as permitted by law. You agree to resolve disputes on an individual basis and waive the right to participate in any class action or representative proceeding.
18. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Aurvus regarding your use of the service. If any provision is found to be unenforceable, the remaining provisions will remain in effect.
19. Changes to These Terms
We may update these Terms from time to time. We will post any material changes here and may provide additional notice. Your continued use of Aurvus following any changes constitutes acceptance of the updated Terms.
